Terms & Conditions — MARUFIC LLC

These Terms and Conditions ("Terms") govern the provision of services by MARUFIC LLC ("we," "us," "our," or "the Company"), trading as CMDA, to clients ("you," "your," or "Client"). By engaging our services, you agree to be bound by these Terms.

2. Services

MARUFIC LLC provides AI automation systems for TikTok creator programs and content agencies. This includes, but is not limited to, AI-powered video compliance review, creator dashboards, automated submission pipelines, and payout and deduction tracking workflows. The exact scope of any engagement will be agreed in writing with the Client before work begins.

3. Payment Terms

All projects require a 50% upfront deposit before work begins. The remaining 50% is due on delivery of the agreed deliverables. Invoices are payable in the currency specified on the invoice. Late payments may incur reasonable interest at the discretion of MARUFIC LLC.

4. Refund Policy

If MARUFIC LLC determines that it cannot reliably deliver the system or outcome agreed to, the Client is eligible for a refund of fees paid, in full or in part. Eligibility, calculation, and the request process are described in full in our Refund Policy, which forms part of these Terms.

5. Intellectual Property

The Client owns all final deliverables produced under the engagement upon receipt of full payment. Until full payment is received, all intellectual property rights in the deliverables remain the property of MARUFIC LLC. MARUFIC LLC retains the right to reuse general knowledge, methodologies, and non-confidential components in future engagements.

6. Confidentiality

Both parties agree to keep project details, business information, and any non-public materials shared during the engagement strictly confidential. This obligation continues after the engagement ends. Either party may disclose information that is required to be disclosed by law.

7. Limitation of Liability

To the maximum extent permitted by law, the total liability of MARUFIC LLC arising out of or in connection with the services is limited to the amount paid by the Client for the services in question. MARUFIC LLC is not liable for indirect, consequential, or incidental damages, including loss of profits, loss of data, or business interruption.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of New Mexico.

9. Disputes

In the event of a dispute, the Client agrees to first contact MARUFIC LLC in writing at maruf@getcmda.com to attempt a good-faith resolution before initiating formal proceedings.

10. Changes to These Terms

MARUFIC LLC may update these Terms from time to time. The current version will always be available on this page, with the "Last updated" date reflecting the most recent revision.
